1Who We Are; Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the website located at https://queztherapy.com (the "Site"), including its content, scheduling functionality, contact form, and the automated Website AI Assistant described in Section 11, made available by Quez Therapeutic Solutions, LLC, an Ohio limited liability company ("Practice," "we," "us," or "our"), located at 3653 Darrow Rd, Ste 5, Stow, Ohio 44224.

Clinical services described on the Site are provided by Joselyn Vasquez, LISW-S ("Clinician"), a Licensed Independent Social Worker with Supervision Designation, licensed by the Ohio Counselor, Social Worker, and Marriage and Family Therapist Board, Ohio License No. 1440311. You may verify this license at any time using the State of Ohio's online license lookup, linked in the Site's footer consistent with Ohio Administrative Code 4757-5-13(M)(5).

By accessing or using the Site, you ("you" or "User") agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not access or use the Site. If you are accessing or using the Site on behalf of a minor or another individual, you represent that you have the legal authority to bind that individual to these Terms.

2Scope of These Terms — Website Use Only, Not the Clinical Relationship

These Terms govern only your use of this website and its digital features. They do not govern, and are not a substitute for, the clinical relationship between you and the Practice or the Clinician.

If and when a treatment relationship is established, that relationship — including informed consent to treatment, the terms of telehealth service delivery, confidentiality and its limits, fees actually charged, and the handling of your Protected Health Information — is governed exclusively by the separate documents you review and sign directly with the Practice at intake, including the Informed Consent for Treatment, the Telehealth Informed Consent (Part A of the Telehealth Informed Consent, Website AI Assistant Disclosure & Crisis Notice), and the HIPAA Notice of Privacy Practices. Those documents, not this page, are the ones that matter once you are a client.

Plain language: using this website — even filling out the contact form or messaging the chat assistant — does not put you "under care." That only happens through separate paperwork you sign, in person or through the client portal, before your first appointment.

3Description of Services

The Site provides:

(a) general educational and informational content about the Practice, the Clinician, treatment approaches, and behavioral health topics;

(b) an online mechanism to request, schedule, reschedule, or cancel appointments through a third-party scheduling platform (see Section 14); and

(c) access to an automated Website AI Assistant that answers general, non-clinical questions about scheduling, logistics, fees, hours, and practice fit (see Section 11).

4No Therapist-Client Relationship Formed by Use of the Site

Your use of the Site — including submitting the contact form, requesting an appointment, exchanging messages with the Website AI Assistant, or browsing informational content — does not, by itself, create a therapist-client, clinician-patient, or any other professional or fiduciary relationship between you and the Practice or the Clinician. A professional treatment relationship is formed only when (a) an appointment has been scheduled and confirmed, (b) applicable intake documentation, consents, and the HIPAA Notice of Privacy Practices have been reviewed and executed, and (c) a first clinical session has occurred consistent with the Practice's intake procedures.

Plain language: browsing this site or messaging the chatbot does not make you a client. You become a client only after you've scheduled, signed intake paperwork, and had a first session.

5Not Medical Advice

Content on the Site — including any general information about symptoms, treatment approaches, or mental health topics, and any output of the Website AI Assistant — is provided for general informational purposes only and does not constitute individualized clinical, diagnostic, or treatment advice, and does not create any expectation of a particular outcome, diagnosis, or cure. Do not rely on Site content as a substitute for professional evaluation, and do not delay seeking appropriate care because of something you read on the Site.

Plain language: nothing on this site is a diagnosis or a treatment plan for you specifically. It's general information, not a substitute for an actual evaluation.

6Emergencies — Call 911 or 988

THE SITE IS NOT AN EMERGENCY SERVICE, A CRISIS SERVICE, OR A SUBSTITUTE FOR EMERGENCY MEDICAL OR MENTAL HEALTH CARE. The Site — including its scheduling functionality, contact form, and the Website AI Assistant — is not monitored continuously or in real time. If you are experiencing a mental health crisis, a medical emergency, or thoughts of harming yourself or others, do not use the Site to seek help.

Call or text 988 (Suicide & Crisis Lifeline, available 24/7, free and confidential), call 911, or go to the nearest emergency room. See the separate Telehealth Informed Consent, Website AI Assistant Disclosure & Crisis Notice for additional emergency information and local resources.

Plain language: if this is an emergency, close this website. Call or text 988, or call 911.

7Eligibility

The Site is intended for individuals age 18 or older, or a parent/legal guardian acting on behalf of a minor. By using the Site, you represent that you are at least 18 years of age or are using the Site with the involvement and consent of a parent or legal guardian. The Practice reserves the right to request verification of eligibility or guardianship status at intake.

8Appointments, Cancellation, and No-Show Policy

8.1 Requesting Appointments. Appointment requests submitted through the Site are requests only and are not confirmed until acknowledged by the Practice through the scheduling platform or by direct communication from Practice staff.

8.2 Cancellation Window. Clients must cancel or reschedule an appointment at least 24 hours before the scheduled appointment time. Cancellations or reschedule requests made after this window, and appointments missed without notice ("no-shows"), may be subject to a $75 no-show fee as set out in the Practice's fee schedule (https://queztherapy.com/fees) and intake documentation.

8.3 How to Cancel. Cancellations must be made through the client portal or by phone at 330-203-1559 — not through the Website AI Assistant, which cannot guarantee real-time processing of scheduling changes and is not monitored in real time (see Section 11).

8.4 Repeated No-Shows. The Practice reserves the right to require prepayment, limit scheduling privileges, or discharge a client from care (consistent with applicable ethical and licensing-board requirements for continuity of care) following repeated missed appointments.

9Fees and Payment

The Practice is in-network with a number of insurance plans and, for those plans, submits claims to your insurer directly; the Practice also accepts self-pay. Current self-pay rates ($145 initial session; $135 ongoing sessions; $75 no-show, subject to Section 8.2), together with the plans the Practice currently accepts, are published and periodically updated at https://queztherapy.com/fees. The insurance plans identified on the Site are those the Practice currently accepts or is in-network with as of the date shown. In-network participation, covered benefits, rates, and fees are set by the insurers and can change, and the Practice does not guarantee continued in-network status with, or continued coverage by, any particular plan and reserves the right to change the plans it accepts at any time. If a plan's rates, fees, or coverage terms change, or the Practice's participation with a plan ends, the Practice will not, for that reason alone, terminate care or refuse to continue seeing an existing client — it will discuss available options with you, which may include continued care on a self-pay or superbill basis. In-network status is confirmed with you before your first session. Fees, sliding-scale eligibility (if any), and payment terms are established at intake and any related financial or credit-card-on-file agreement you sign before or at your first appointment — not through this Site or these Terms — and nothing on the Site constitutes an offer or contract to provide services at any particular rate or to accept any particular plan. If the Practice is not in-network with your plan, or you prefer to pay out of pocket, you may request a superbill to seek out-of-network reimbursement from your insurer.

Where required by the federal No Surprises Act (45 C.F.R. Part 149), a Good Faith Estimate of expected charges will be provided before your first appointment and, upon request, at any other time.

10Telehealth Services

Telehealth (live video and/or audio) services, where offered, are permitted under Ohio Revised Code §§ 4743.09 and 4757.50 and are governed by the separate Telehealth Informed Consent (Part A of the Telehealth Informed Consent, Website AI Assistant Disclosure & Crisis Notice), which you must review and sign before receiving telehealth services. The Site's description of telehealth availability is informational only and does not itself constitute the required informed consent. The Clinician is licensed only in Ohio; telehealth is offered to clients physically located in Ohio at the time of each session.

11Website AI Assistant Disclosure

11.1 Nature and Purpose. The Site may include an automated chat feature (the "Website AI Assistant" or "Assistant") built to help visitors with general, non-clinical questions: office hours, scheduling logistics, fees, directions, and general practice-fit questions.

11.2 You Will Be Told It's AI, Not a Human. Before you can use the Assistant's features, and at the start of any new conversation, the Site will clearly disclose that you are interacting with artificial intelligence technology, not a human being. If you ask the Assistant whether it is artificial intelligence, it will confirm that it is.

11.3 Not a Therapist; No Clinical Function. The Website AI Assistant:

(a) is not Joselyn Vasquez, LISW-S, or any other licensed clinician, and does not act on behalf of a clinician in a clinical capacity, and will not identify itself using any title reserved for a licensed health care professional (e.g., therapist, counselor, social worker, psychologist, psychiatrist, or "LISW-S");

(b) does not provide therapy, counseling, diagnosis, clinical assessment, treatment recommendations, or medical or mental health advice of any kind;

(c) does not attempt to detect, infer, or analyze your emotions or mental state;

(d) does not review, triage, or respond to descriptions of symptoms, crises, or safety concerns, and is not equipped to do so; and

(e) may produce responses that are incomplete, generic, or, on rare occasion, inaccurate, because it is generated by automated technology rather than clinical judgment.

11.4 Not Monitored in Real Time. The Website AI Assistant operates automatically and is not monitored by clinical or administrative staff in real time. There may be a delay before a human reviews any message sent through it, if it is reviewed at all.

11.5 Third-Party Processing; Not for Protected Health Information. The Website AI Assistant is powered by artificial-intelligence technology operated by a third-party service provider under contract with the Practice, which processes the content of your conversation with the Assistant in order to generate responses. The Practice does not have a HIPAA Business Associate Agreement with this AI service provider. The Assistant is not configured, and must not be used, to receive, process, or store Protected Health Information or any clinical, diagnostic, symptom, or crisis-related information. Do not enter such information into the Assistant. See the Privacy Policy for further detail on how Assistant conversations are handled.

11.6 Not for Emergencies. Do not use the Website AI Assistant to report a crisis, an emergency, suicidal or homicidal thoughts, abuse, or any situation requiring immediate attention. If you are in crisis, call or text 988 or call 911 immediately. See Section 6 and the Crisis Notice for full detail.

11.7 No Reliance. You should not rely on the Website AI Assistant's output as a substitute for professional clinical judgment, for emergency services, or for direct communication with Practice staff on anything time-sensitive or clinically significant.

Plain language: the chat widget on this site is a bot, not a person and not your therapist. It can help with logistics — hours, fees, scheduling. Don't tell it anything clinical, sensitive, or urgent, and don't use it in a crisis.

12Intellectual Property

All content on the Site — including text, graphics, logos, the Practice's name and any trade names, images, video, audio, software, and the "look and feel" of the Site — is owned by or licensed to the Practice and is protected by U.S. and international copyright, trademark, and other intellectual property laws. Except as necessary to view the Site for your personal, non-commercial use, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, or transmit any Site content without the Practice's prior written consent.

13Acceptable Use

You agree not to:

(a) use the Site for any unlawful purpose or in violation of these Terms;

(b) attempt to gain unauthorized access to the Site, its systems, or any account, network, or data connected to the Site;

(c) interfere with or disrupt the Site's operation, including through malware, denial-of-service attacks, scraping, or automated data extraction not authorized by the Practice;

(d) use the Website AI Assistant to submit content that is abusive, harassing, unlawful, or that impersonates another person;

(e) submit false, misleading, or another person's personal or health information through the Site without authorization;

(f) submit sensitive clinical, diagnostic, or crisis-related information through the contact form or the Website AI Assistant, neither of which is intended, secured, or appropriate for that purpose (see Section 11.5); or

(g) use the Site to solicit, advertise, or transmit unsolicited commercial communications.

The Practice reserves the right to suspend or terminate your access to the Site for suspected violation of this Section.

15Disclaimer of Warranties

THE SITE, ITS CONTENT, AND THE WEBSITE AI ASSISTANT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE PRACTICE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT — INCLUDING OUTPUT FROM THE WEBSITE AI ASSISTANT — IS ACCURATE, COMPLETE, OR CURRENT. NO INFORMATION OBTAINED THROUGH THE SITE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

This disclaimer is made to the fullest extent permitted under the laws of the State of Ohio. Some jurisdictions do not allow the exclusion of certain warranties, so some of the foregoing exclusions may not apply to you.

Plain language: the site and the chatbot are provided as-is. We don't guarantee they'll always be available, error-free, or perfectly accurate.

16Limitation of Liability

TO THE FULLEST EXTENT PERMITTED UNDER THE LAWS OF THE STATE OF OHIO, IN NO EVENT SHALL THE PRACTICE, THE CLINICIAN, OR THEIR RESPECTIVE OWNERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR THE WEBSITE AI ASSISTANT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE PRACTICE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED UNDER THE LAWS OF THE STATE OF OHIO, THE PRACTICE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID, IF ANY, FOR USE OF THE SITE ITSELF (EXCLUDING CLINICAL SERVICES FEES, WHICH ARE GOVERNED BY YOUR SEPARATE TREATMENT AGREEMENT), WHICHEVER IS GREATER.

Nothing in these Terms is intended to, and nothing shall, limit any liability that cannot be limited or excluded as a matter of law, including liability for gross negligence or willful misconduct, or liability for professional negligence in the actual provision of clinical services — which arises, if at all, out of the separate treatment relationship and is governed by applicable Ohio professional standards and the documents referenced in Section 2, not by this website-use limitation.

Plain language: this limits our liability for problems with the website itself — not for the quality of actual clinical care, which is a separate relationship governed by separate documents and by Ohio professional-negligence law.

17Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Practice, the Clinician, and their respective owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your violation of these Terms; (b) your misuse of the Site or the Website AI Assistant, including submission of false or misleading information; or (c) your violation of any applicable law or the rights of a third party.

18Governing Law and Venue

These Terms, and any dispute arising out of or relating to these Terms or your use of the Site, are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict-of-laws principles, except to the extent preempted by federal law.

You agree that the state and federal courts located in Summit County, Ohio, have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Site, and you consent to the personal jurisdiction of, and waive any objection to venue in, those courts.

Nothing in this Section limits any right you may have to file a complaint with a professional licensing board — including the Ohio Counselor, Social Worker, and Marriage and Family Therapist Board — the U.S. Department of Health and Human Services Office for Civil Rights, or any other governmental or regulatory agency; that right may not be waived.

19Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, severed, and the remaining provisions shall continue in full force and effect.

20Changes to These Terms

The Practice may revise these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Because the Practice does not publish or solicit a general Site-inquiry email address (see Section 22), notice of a revision is provided by posting the revised Terms on the Site with an updated "Last Updated" date and, for material changes, an additional prominent notice on the Site (for example, a homepage banner) for a reasonable period. You are responsible for reviewing these Terms periodically. Your continued use of the Site after a revision becomes effective constitutes acceptance of the revised Terms. If you do not agree to a revision, you must discontinue use of the Site.

21Entire Agreement; Relationship to Other Documents

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Practice regarding use of the Site and supersede any prior agreements regarding that subject matter. As described in Section 2, these Terms do not constitute, and are not a substitute for, the Informed Consent for Treatment, the Telehealth Informed Consent, or the HIPAA Notice of Privacy Practices, which govern the clinical relationship once established and which you review and sign separately. To the extent of any conflict between these Terms and a signed clinical document as to the clinical relationship, the signed clinical document controls; to the extent of any conflict as to use of the Site itself, these Terms control.
